01 / Parties
These Vendor Terms apply between DX Wealth Ltd. ([Company number TBC]) ("Dram X") and the business or individual onboarded as a vendor on the Dram X marketplace ("You", "Vendor").
02 / Appointment as Commercial Agent
You appoint Dram X as your disclosed commercial agent for the marketing, sale, and collection of payment for the goods you list on the platform. The contract of sale for each transaction is between you and the customer. Dram X does not take title to the goods (except where expressly identified as seller for a specific listing) and is not a party to the contract of sale. This appointment is non-exclusive: you may sell the same goods through other channels.
03 / Vendor Eligibility
- UK-registered business entity (sole trader, partnership, limited company or LLP) at launch — additional jurisdictions added subject to Dram X coverage.
- Valid VAT registration where your turnover requires it, or written confirmation of non-registration.
- Valid alcohol-related licences applicable to your sales (for example, Alcohol Wholesaler Registration Scheme (AWRS) registration where you wholesale duty-paid alcohol; bonded warehouse keeper or duty representative arrangements where applicable).
- Successful completion of Dram X KYB checks (operated through Sumsub) and Stripe Connect onboarding for card payouts.
- Acknowledgement that excise duty obligations are yours, not Dram X's.
04 / Listings, Product Data & Authenticity
You are responsible for the accuracy of all product information you provide — including provenance, distillery, vintage, cask number, ABV, fill level, storage location, regulatory status, and any claims about scarcity, age, or investment characteristics. Dram X may reject, suspend, or remove listings that we reasonably believe are inaccurate, misleading, unlawful, or inconsistent with our brand standards.
05 / Commission & Fees
Dram X retains a commission on each completed transaction (the "Commission"). The Commission rate and any other fees are set out in the signed agreement and may be a flat percentage, a per-listing override, or a tiered rate. Commission is netted from the sale proceeds before payout. Where a transaction is refunded, the Commission is refunded pro rata unless the refund arises from your default, in which case the Commission may be retained.
06 / Payment Collection & Payouts
Dram X collects sale proceeds on your behalf via Stripe Payments UK Ltd. (card) or BCB Group Limited (cryptoasset receipts converted to GBP). Card transactions are settled into your Stripe Connect Express account by direct transfer net of Commission; crypto-derived GBP and any other proceeds are settled by Faster Payments from Dram X's Revolut Business account. Standard payout schedule is set out in your onboarding pack and is subject to Stripe's and Dram X's risk and refund-reserve practices.
07 / Self-Billing — HMRC Arrangement
You consent under HMRC Notice 700/62 to Dram X issuing self-billed VAT invoices in your name in respect of sales facilitated by the platform. You undertake to (a) notify Dram X immediately of any change in your VAT registration status, (b) not raise sales invoices to Dram X-facilitated customers yourself, and (c) maintain copies of self-billed invoices for the period required by HMRC. The self-billing arrangement is reviewed periodically and will be re-confirmed in writing at intervals required by HMRC.
08 / Cryptoasset Receipts — Vendor Position
Vendors do not receive cryptoassets. Crypto-funded orders are settled to you in GBP only, indistinguishable from card-derived payouts, following BCB Group Limited's conversion of the incoming cryptoasset to GBP. The conversion spread and any platform-applied buffer are disclosed in your fee schedule.
09 / Excise Duty, VAT & Other Taxes
You are responsible for all taxes, duties, and levies applicable to the goods you sell, including UK excise duty on alcoholic spirits and any required duty deferment, warehouse keeper, or duty representative arrangements. Dram X does not act as your tax agent. You will indemnify Dram X for any tax or duty liability assessed against Dram X that should properly have been borne by you.
10 / Refunds, Returns & Chargebacks
Customer-facing refunds are administered by Dram X on your behalf. Where a refund or successful card chargeback arises from product non-conformity, mis-description, late or non-delivery, or other vendor default, the refund (including any associated card-network fees) is funded from your account or from future payouts. Where the matter is plainly outside vendor control (for example, customer-initiated friendly fraud where Dram X has the evidence to defend the chargeback), allocation will be considered case by case under the agent agreement.
11 / Data Protection
Dram X and you act as independent data controllers in respect of customer personal data shared for order fulfilment. You will process that data only for the purpose of fulfilling the order, will not use it for marketing without a separate lawful basis, and will hold it under UK GDPR-compliant safeguards. Each party will notify the other promptly of any personal data breach affecting marketplace data.
12 / Acceptable Use & Listing Standards
- No fraudulent, misleading, or unsafe products.
- No sale of unbonded or duty-unpaid goods except through properly recorded bonded-warehouse mechanisms.
- No products subject to UK, EU, UN, or US sanctions, or to import/export controls without the required licences.
- No facilitation of money laundering, sanctions evasion, or tax evasion.
- Truthful, evidenced claims; investment-style language only where compliant with applicable financial-promotion rules.
13 / Suspension & Termination
Either party may terminate on notice as set out in the signed agreement. Dram X may suspend or terminate immediately for vendor breach of these Vendor Terms, adverse KYB or sanctions outcomes, regulator direction, repeated customer complaints, or where Stripe Connect or our other regulated partners withdraw your onboarding. On termination, settlement of pending orders, refund reserves, and self-billed invoices will be completed on the timetable in the agreement.
14 / Indemnities & Liability
You indemnify Dram X against losses arising from breach of these Vendor Terms, your unlawful acts, infringement of third-party rights, tax or excise non-compliance attributable to you, and product-liability claims for which you are the legal seller. Liability caps and carve-outs are set out in the signed agreement; nothing limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
15 / Governing Law & Jurisdiction
These Vendor Terms and the agent agreement are governed by Scots law, with exclusive jurisdiction of the Scottish courts. Statutory consumer-side rights of end customers remain unaffected.
