01 / Acceptance of Terms
By accessing or using Dram X, you enter into a binding agreement with DX Wealth Ltd. ([Company number TBC]) ("Dram X", "we", "us") on these Terms of Service. If you do not agree to any part of these terms, you must not access or use the service.
02 / Our Role: Marketplace & Disclosed Agent
Dram X operates an online marketplace. For each transaction, the third-party seller listed on the product page (the "vendor") is the legal seller of the goods to you. Dram X acts as the vendor's disclosed commercial agent: we operate the storefront, collect payment on the vendor's behalf, issue the VAT invoice in the vendor's name under an HMRC self-billing arrangement, arrange delivery logistics where applicable, and provide first-line customer service. The contract of sale is between you and the vendor. Dram X is not the seller of the goods and does not take title to them, except where a listing expressly identifies Dram X as the seller.
03 / Eligibility & Age
The service is intended only for users who are at least 18 years old and of legal drinking age in their jurisdiction. You must not use Dram X where doing so is prohibited by applicable law. By using the service, you confirm that you meet these requirements.
04 / Permitted Jurisdictions
Dram X serves customers in the United Kingdom and selected additional jurisdictions disclosed at checkout. We do not knowingly accept orders from, or sell to, persons resident in or ordering for delivery to jurisdictions subject to comprehensive UK, EU, UN or US sanctions (including but not limited to Iran, North Korea, Syria, Cuba, and the Russia-occupied regions of Ukraine), or any other jurisdiction we determine to present unacceptable legal or compliance risk. Where the law of your jurisdiction restricts the importation, possession, or consumption of alcoholic spirits, you are responsible for compliance with that law.
05 / Accounts, KYC & KYB
You must register an account with accurate information and keep it up to date. We carry out Know Your Customer (KYC) checks under the Money Laundering Regulations 2017 (MLR 2017) and may request identity, address, and source-of-funds documentation. Vendors are additionally subject to Know Your Business (KYB) checks and to onboarding by our payment partners (including Stripe Connect). We may suspend or close accounts where we are required to do so by law, where information is incomplete, where screening returns an adverse result, or where we suspect breach of these Terms.
06 / Fees, Payments & Payment Partners
Prices and any platform fees are disclosed at checkout. Card payments are processed through Stripe Payments UK Ltd. acting as the merchant of record for the card transaction; cryptoasset payments are received and converted to GBP by BCB Group Limited under its FCA cryptoasset firm registration. Vendor payouts are made via Stripe Connect or by Faster Payments from our Revolut Business account. Dram X does not custody cryptoassets and does not convert cryptoassets on a discretionary basis. You are responsible for any taxes, duties, or charges payable on your transactions unless we expressly state otherwise; VAT, where applicable, is shown on the vendor's invoice issued to you on the vendor's behalf under HMRC's self-billing rules.
07 / Cryptoasset Payments — Conversion & FX
Where you pay in cryptoassets, the GBP-equivalent price at checkout includes a spread that covers conversion and short-term price movement until the conversion is settled by our cryptoasset partner. The price you pay is the GBP-equivalent shown at checkout. Where, after order placement, a payment is received from a wallet that fails sanctions or illicit-finance screening, we may decline or reverse the order in accordance with §10.
08 / Delivery, Title & Risk
Title to the goods passes from the vendor to you on payment in full and dispatch by the vendor or its nominated logistics partner. Risk passes on delivery in accordance with the Consumer Rights Act 2015. Where casks are held in HMRC bonded warehouses, title transfer is evidenced by a delivery order or equivalent record issued by the warehouse keeper.
09 / Returns, Refunds & Consumer Rights
As a UK consumer, you have rights under the Consumer Rights Act 2015 against the vendor as the legal seller. Dram X facilitates returns and refunds on the vendor's behalf via the customer-service channel provided on the platform. Refund processing is initiated by Dram X and applied to the original payment method; where a card transaction has been transferred to a vendor's connected account, the refund includes a reversal of that transfer. Nothing in these Terms limits or excludes any non-excludable consumer right you have against the vendor or against Dram X.
10 / Sanctions, Wallet Screening & Acceptable Use
We screen incoming cryptoasset payments against sanctions lists and illicit-finance indicators. Payments from wallets that return an adverse screening result may be declined, held pending compliance review, or reversed. You must not use the service for fraud, market manipulation, money laundering, sanctions evasion, scraping or automated access without consent, attempts to circumvent KYC controls, or any activity that infringes the rights of others or breaches applicable law.
11 / Not Financial Advice / Risk Disclaimer
Whisky casks and bottlings sold on Dram X are not regulated financial instruments and Dram X does not provide financial, investment, tax, or legal advice. The value of casks can fall as well as rise, liquidity is not guaranteed, and past sale prices are not indicative of future values. You are responsible for assessing whether a purchase is suitable for you.
12 / Intellectual Property
Dram X and its licensors own all rights in the platform, including software, branding, trade marks, content, and data. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the service for its intended purpose. No other rights are granted by implication.
13 / Suspension & Termination
Either party may end this agreement at any time. We may suspend or terminate access immediately where we reasonably believe you have breached these Terms, where required by law or a regulator, or where we suspect fraud. Sections that by their nature should survive termination (including IP, liability, indemnity, and governing law) will continue to apply.
14 / Limitation of Liability
Subject to the carve-outs in this section, Dram X (in its capacity as marketplace operator and disclosed agent) is not liable for indirect, consequential, or special losses, loss of profit, loss of goodwill, or loss of opportunity. Our aggregate liability arising out of or in connection with the service in any 12-month period is limited to the platform fees and commissions retained by Dram X in respect of your transactions in that period. The vendor is the legal seller of the goods and the principal in respect of the contract of sale, including liability for product quality, description, and delivery, except where Dram X is expressly identified as seller. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
15 / Indemnity
You agree to indemnify Dram X against losses, damages, and reasonable costs (including legal fees) arising from your breach of these Terms, your unlawful use of the service, or your infringement of any third-party rights.
16 / Vendors — Separate Terms
If you list goods for sale on the marketplace, your relationship with Dram X is additionally governed by the Vendor Terms (see /vendor-terms) and the signed commercial agent agreement. In the event of conflict between these Terms and the Vendor Terms in your capacity as a vendor, the Vendor Terms prevail.
17 / Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or via the platform before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
18 / Consumer Rights Preserved
Nothing in these Terms limits or excludes any rights you may have as a consumer under the Consumer Rights Act 2015 or other mandatory provisions of the law applicable to you.
19 / Governing Law & Jurisdiction
These Terms are governed by Scots law. The Scottish courts have exclusive jurisdiction over any dispute, except that consumers retain the right to bring proceedings in the courts of their country of residence where required by mandatory law.
